Effective 28 October 2026
These Terms of Sale govern every order you place with Unicorn Pack Pte. Ltd. (UEN 202416833G), 138 Robinson Road, #02\-54, Oxley Tower, Singapore 068906 ("Unicorn Pack", "we", "us") through unicornpack.com. Our Returns & Refunds Policy, Shipping & Delivery Policy, Product Care & Shelf Life page and Terms of Use form part of these Terms. By placing an order you agree to them. Version 1.0. Effective from 28 October 2026.
Business customers and consumers. "Business Customer" means a customer that purchases for the purposes of a trade, business or profession, including for resupply or for use in its own operations. "Consumer" means an individual purchasing for purposes outside their trade, business or profession. Most of our customers are businesses, and these Terms are written for them; where you are a Consumer, section 12 and the consumer provisions of the Returns & Refunds Policy apply in addition, and nothing in these Terms limits rights you have under the law of your country that cannot be limited by contract.
1.1 Your order is an offer to buy. We accept it when we send you an order confirmation email after your payment is authorised. For custom\-printed items, acceptance is also subject to our artwork compliance review (section 3.4); if we decline an order at that review, no contract is formed for the declined items and we refund you in full.
1.2 We may decline or cancel an order, acting reasonably, where we suspect fraud, a breach of our Terms of Use, a sanctions or export restriction, an obvious pricing or stock error, or where we cannot ship to the destination. Where we do so after payment we refund the affected items in full.
1.3 You must be at least 18 and, if you order on behalf of a business, authorised to bind it. You are responsible for the accuracy of your order, including product, size, quantity, finish, delivery address and contact details.
2.1 Prices are as displayed at checkout in the currency you select, and include the product, any options you choose, and any charges shown as separate lines (shipping; and for some destinations an "Import duties & fees" line, see section 7). The total shown at checkout is the total you pay to us.
2.2 Payment is taken in full when you place your order and is processed by Stripe, unless we have agreed other payment terms with you in writing. We do not see or store your full card details. For custom\-printed orders, your payment is held as an advance until your design version is locked at artwork review; our invoice is issued at that point and is available for download from your order page.
2.3 We may correct pricing or display errors before acceptance. If we discover a material error after acceptance, we will contact you to reconfirm at the correct price or cancel and refund.
2.4 Promotional codes and store credit apply only as stated in the promotion or in the Returns & Refunds Policy. Prices may change at any time; changes do not affect orders already accepted.
3.1 Your approval is the production master. The design version you approve in the Design Studio (or in a proof we send you) is final and is what we manufacture. Please check spelling, contact details, barcodes, dimensions and layout carefully: we do not proofread content, and errors present in an approved design are not defects.
3.2 Preflight checks. Before production we check every design automatically and by human review, including image resolution, bleed and safe zones, fonts, colour mode and ink coverage, and intellectual\-property screening under our Terms of Use. Issues are graded as advisory (production proceeds), waivable (you may fix, ask us for help, or accept the issue by signing a waiver), high (waivable only with our production team's written approval) or critical (must be fixed; if it cannot be, the order is cancelled and refunded).
3.3 Waivers. A waiver covers only the specific issues listed in it, for the specific design version shown. By signing it you accept the print outcome attributable to those issues. Where you are a Consumer, a waiver does not affect your statutory rights in respect of matters it does not cover.
3.4 Compliance review and refusal. We may refuse, pause or cancel production of any design at any stage, including after payment, where we reasonably suspect infringement of third\-party rights, prohibited content or a breach of our Terms of Use. Intellectual\-property concerns cannot be waived. Orders declined at this review are refunded in full, subject to section 6 of the Returns & Refunds Policy for deliberate breaches by Business Customers.
3.5 Two\-stage review and your response time. After you order we re\-check the approved version (stage 1) and run a final technical check before releasing production files (stage 2). If we need you to fix, confirm or re\-approve something, we email you and the order pauses. Production times in section 6 run from the later of payment and your final approval; if you take longer than 24 hours to respond to a request from us, delivery estimates shown at checkout no longer apply and we will give you a revised estimate.
3.6 Certification marks (for example composting logos) are placed automatically by our system only on products holding the relevant certification, in fixed positions, and cannot be moved, altered or added manually.
3.7 Design version lock. When artwork review is complete we lock the design version. From that point the order is treated as in production for the purposes of cancellation (Returns & Refunds Policy, section 6).
4.1 Custom\-printed packaging is manufactured in industrial processes with inherent variation. The following are within tolerance and are not defects:
4.2 The full list of what is and is not a defect is in section 10 of the Returns & Refunds Policy.
5.1 Shipping options, rates and estimated transit times are shown at checkout before you pay and described in our Shipping & Delivery Policy. Larger orders may be shipped in more than one parcel, sometimes from different locations and on different days; please check the tracking for every parcel.
5.2 Delivery estimates are estimates, not guaranteed dates. They depend on production, carriers, customs and weather. Where you have paid for an express or priority service and we miss the estimate for reasons within our control, we refund the express surcharge; this is our only liability for late delivery, except where the law gives you further rights.
5.3 Risk in the goods passes to you on delivery to the address you gave us (or to a person at that address, or a safe place you nominated). Title passes when we receive payment in full.
5.4 If a delivery fails because the address is wrong or incomplete, nobody is available, or the parcel is refused or unclaimed, the carrier may return or dispose of it. Re\-delivery, return and any charges resulting from those causes are at your cost, and shipping charges are not refunded.
6.1 In\-stock items are dispatched within 1–2 business days of order. Custom\-printed items enter production after artwork review is complete and typically take 7–10 business days to produce, then ship. Large or complex orders are quoted separately.
6.2 Our manufacturing partners observe public holidays in China (including Lunar New Year, Dragon Boat Festival, Mid\-Autumn Festival and National Day), during which production pauses. We publish upcoming closures on our FAQ page and recommend ordering ahead of them.
7.1 Prices do not include local sales, value\-added or goods\-and\-services tax unless the checkout page for your destination shows that tax is included or added. Where we hold a tax registration in your country, the applicable tax and our registration number are shown at checkout and on your invoice for that country only.
7.2 Destinations where import charges are prepaid. For some destinations, the cost of import duties, taxes and customs handling for your parcel is charged as a separate "Import duties & fees" line and prepaid through our carrier, so nothing further is payable on delivery. This line is refundable in the same proportion as the goods it relates to.
7.3 Destinations where import charges are paid on delivery. For other destinations your order ships from China on a "duties unpaid" basis. Import duties, taxes, brokerage or customs handling charges may be payable by the recipient to the carrier before or on delivery, and are the recipient's responsibility. If a carrier or customs authority bills us for charges that are the recipient's responsibility, we may invoice you for them. We show this notice at checkout, in the Design Studio order confirmation and in your order confirmation email. If you refuse to pay them and the parcel is returned or abandoned, section 5.4 applies.
7.4 Business tax numbers. If you are a business, you may enter your tax registration number (for example VAT, GST, ABN or EORI) at checkout; we pass it to the carrier for customs purposes. Customs authorities may treat a recipient whose name includes a company designation (such as Ltd, GmbH or Pty) as a business importer, which can change the charges that apply.
7.5 Which treatment applies to your destination is shown at checkout before you pay and may change if carrier or customs arrangements change. Tax treatment may change for a destination when our registration status there changes; such changes apply only to that destination and do not affect any other part of these Terms.
Cancellation, returns, our reprint\-first resolution sequence, store credit and refunds are governed by the Returns & Refunds Policy, which forms part of these Terms. In summary: custom\-printed items are final once approved; confirmed defects are reprinted first, then credited, and refunded as a last resort or where the law requires; stock items may be returned within 14 days for store credit; consumers in the EU and UK have a 14\-day right of withdrawal for stock items.
9.1 We warrant that goods will conform to the approved artwork and specification within the tolerances in section 4 and be free from manufacturing defects at delivery.
9.2 Shelf life. We guarantee our compostable products will perform as intended for 9 months from delivery when stored sealed in their original packaging, in a cool, dry place away from direct sunlight, as described on our Product Care page. We recommend ordering quantities you expect to use within about 6 months. Deterioration after that period, or caused by storage outside those conditions, is not a defect.
9.3 Composting and other environmental claims we make are limited to those stated with the certification name, standard and certificate number on the relevant product page. Certification marks are shown only on certified products.
9.4 Except as set out in this section and in the Returns & Refunds Policy, and to the extent permitted by law, all other warranties, conditions and terms implied by statute or common law are excluded (section 11).
10.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded or limited by law, including rights of Consumers under applicable consumer protection law.
10.2 Subject to 10.1, our total liability to you in connection with any order, whether in contract, tort (including negligence) or otherwise, is limited to the total amount you paid for that order.
10.3 Subject to 10.1, we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, for the cost of substitute goods, for delay or loss caused by carriers or customs authorities, or for any indirect or consequential loss.
10.4 You are responsible for ensuring that the packaging you order is suitable for your products, contents and shipping methods, and for complying with labelling and packaging laws that apply to your own products and markets.
If you are a Business Customer then, to the extent permitted by law: (a) our sole obligation, and your exclusive remedy, for goods that do not conform to the approved artwork or specification is, at our option, to reprint or replace the non\-conforming goods, or to credit or refund the price paid for them, as set out in the Returns & Refunds Policy; (b) claims must be notified in writing within 30 days of delivery with reasonable evidence, failing which the goods are deemed accepted; (c) all implied terms, conditions and warranties as to quality, fitness for purpose and description are excluded, and where they cannot be excluded our liability is limited as set out in (a); (d) Australia: this section operates subject to section 64A of the Australian Consumer Law; New Zealand: the Consumer Guarantees Act 1993 does not apply (section 43(2)); United Kingdom and Singapore: this section is intended to satisfy the requirement of reasonableness under the Unfair Contract Terms Act 1977. UNITED STATES: THIS SECTION IS AN EXCLUSIVE REMEDY AND A CONSPICUOUS DISCLAIMER OF THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE UNDER UCC §§ 2\-316 AND 2\-719.
If you are a Consumer: (a) you have the statutory rights described in section 11 of the Returns & Refunds Policy, which prevail over anything in these Terms that conflicts with them; (b) sections 10.2, 10.3 and 11 apply only to the extent permitted by the consumer law of your country; (c) you may bring claims against us in the courts of your country of residence and rely on the mandatory consumer protection laws of that country (section 14).
We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, war, civil unrest, government action, sanctions, customs delays, carrier failures, strikes, utility or internet failures, raw\-material shortages or interruption of our manufacturing partners. Scheduled holiday closures (section 6.2) are not such events. If an event delays your order by more than 30 days, either of us may cancel the affected items and we will refund amounts paid for goods not produced.
14.1 These Terms and any order are governed by the laws of Singapore. The courts of Singapore have non\-exclusive jurisdiction.
14.2 If you are a Consumer, nothing in 14.1 deprives you of the protection of mandatory provisions of the law of your country of residence, or of the right to bring proceedings in the courts of that country.
14.3 If you have a problem, please contact us first at contact@unicornpack.com; most issues are resolved under the Returns & Refunds Policy within days.
15.1 These Terms, the policies they incorporate and your order confirmation are the entire agreement between us for your order. Terms on your purchase order or other documents do not apply unless we agree to them in writing.
15.2 We may update these Terms. The version in force when you place an order applies to that order. We will notify registered customers of material changes at least 30 days before they take effect.
15.3 If any provision is unenforceable, the rest remains in effect. We may assign or subcontract our obligations (including manufacturing and delivery) without affecting your rights. Notices to you may be sent to the email address on your account. These Terms are in English; translations are for convenience only.
